1. Agreement to Terms

By accessing or using EchoLingual ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

The Service is operated by Flashlight Media, LLC ("Company," "we," "us," or "our"), located at PO Box 140063, Boise, ID 83714.

2. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent that you are at least 13 years old and have the legal capacity to enter into these Terms.

If you are under 18, you represent that you have your parent or guardian's permission to use the Service.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your password
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Description of Service

EchoLingual provides AI-powered language learning tools including:

• Audio and video transcription and translation
• AI-generated learning content
• Vocabulary management and spaced repetition
• AI tutoring and explanations
• Progress tracking and analytics

The Service uses artificial intelligence, which may produce imperfect results. AI-generated translations, explanations, and content should be used as learning aids, not authoritative sources.

5. Content You Upload

Your Responsibilities

You are solely responsible for the content you upload to the Service. You represent and warrant that:

• You own the content or have the necessary rights and permissions to upload it
• The content does not infringe any third party's intellectual property rights
• The content complies with our Acceptable Use Policy

License to Us

By uploading content, you grant us a limited license to process, store, and analyze your content solely for the purpose of providing the Service to you. We do not claim ownership of your content.

Our Content

The Service, including its design, features, and original content, is owned by Flashlight Media, LLC and is protected by copyright, trademark, and other intellectual property laws.

Your Content

You retain ownership of content you create using the Service, including vocabulary lists, notes, and study materials. AI-generated content created for you may be used for your personal learning purposes.

7. Prohibited Uses

You agree not to:

• Use the Service for any illegal purpose
• Upload malicious code or attempt to compromise the Service
• Access other users' accounts without permission
• Resell or redistribute the Service without authorization
• Use automated systems to access the Service in a manner that exceeds reasonable use
• Violate our Acceptable Use Policy

8. Service Availability and Modifications

We strive to keep the Service available but do not guarantee uninterrupted access. We may:

• Modify or discontinue features at any time
• Perform maintenance that temporarily affects availability
• Impose usage limits to ensure fair access for all users

We will make reasonable efforts to notify users of significant changes.

9. Subscription and Payments

Some features may require a paid subscription. If you purchase a subscription:

• You agree to pay all applicable fees
• Subscriptions automatically renew unless cancelled
• Refunds are handled according to our refund policy
• We may change pricing with notice to existing subscribers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLASHLIGHT MEDIA, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

You agree to indemnify and hold harmless Flashlight Media, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third party's rights, including intellectual property rights

13. Termination

You may terminate your account at any time through your account settings. We may terminate or suspend your account if you violate these Terms.

Upon termination:

• Your right to use the Service will cease immediately
• We may delete your data according to our Privacy Policy
• Provisions that should survive termination will remain in effect

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Idaho, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
